These Terms & Conditions apply to Dulicht Homes’ Part Exchange scheme (“Part Exchange”). Part Exchange is offered at our discretion and is subject to these Terms & Conditions and contract.
1. Definitions
- “We/Us/Our” means Dulicht Homes (and any associated company or third party we nominate to purchase the Existing Property).
- “You/Your” means the customer(s) applying for Part Exchange.
- “New Home” means the new build home you are buying from us.
- “Existing Property” means your current residential property you propose to sell under Part Exchange.
- “Offer” means our written offer to purchase your Existing Property (if made).
- “Reservation” means the reservation of the New Home (including any reservation fee) subject to our reservation terms.
- “Missives/Settlement/Completion” are used in their usual Scottish conveyancing sense.
2. Availability and discretion
- Part Exchange is available only on selected plots/developments and may be withdrawn or varied at any time.
- We are not obliged to accept an application or make an Offer. Any decision we make on eligibility and valuation is final.
- Part Exchange is subject to contract, title and all usual legal/conveyancing checks.
3. Eligibility criteria
3.1 Your Existing Property must normally:
- be your main residence (unless we confirm otherwise in writing);
- be located within an area we are willing to accept;
- be of standard construction and in reasonable saleable condition;
- be capable of providing vacant possession at settlement (unless agreed otherwise);
- have a title/ownership structure that is straightforward and acceptable to our solicitors.
3.2 Typically not suitable (non-exhaustive):
- properties with significant structural movement, major defects, or serious damp/contamination;
- short leases / complex title conditions / unusual burdens / unresolved boundary issues;
- properties with sitting tenants, commercial use, or ongoing disputes (unless agreed in writing).
3.3 Scheme limits:
- the Existing Property value is no more than 70% of the selling price of the New Home; and
- the Existing Property value does not exceed £300,000.
4. The Part Exchange process
- You must select a New Home and submit a Part Exchange enquiry/application with accurate information about the Existing Property.
- If we proceed, we will arrange independent valuation(s) and/or may require a Home Report and/or other reports as we consider necessary.
- Any Offer we make will be based on independent valuation(s) and our assessment of marketability and resale risk.
- Any Offer will be made in writing, will usually be time-limited, and may be withdrawn if not accepted within the stated period.
5. Offer conditions and assumptions
- Any Offer is conditional upon:
- satisfactory valuation(s) and any follow-up reports we may require;
- satisfactory legal due diligence;
- no material change in the condition of the Existing Property between valuation and settlement; and
- you not entering into negotiations or accepting an offer from a third party for the Existing Property while Part Exchange is ongoing (unless we agree otherwise in writing).
- You confirm that all information provided by you is true, complete and not misleading. If material information is inaccurate or withheld, we may withdraw or revise the Offer and/or require you to reimburse costs incurred.
6. Reservation and timing
- Reservation of the New Home is subject to our standard reservation terms and may require you to meet timescales for progressing missives.
- We may require you to instruct a solicitor within a specified time and provide proof of funds and/or a mortgage decision in principle.
- If you do not meet agreed legal/timing milestones, we may withdraw Part Exchange and/or remarket the New Home.
7. Marketing and access to the Existing Property
- You agree to provide reasonable access to the Existing Property for valuation inspections, surveys, photography, and marketing viewings (by appointment).
- Where we (or our nominee) market the Existing Property, we may decide the marketing strategy and asking price.
- You agree to cancel any existing estate agency marketing agreements for the Existing Property if required, and you are responsible for any fees due to any estate agent or third party you have instructed.
- You agree (where reasonably requested) to permit the erection of a “For Sale” board/sign.
8. Condition of the Existing Property
- You must keep the Existing Property insured, maintained and in materially the same condition as at the date of valuation/Offer (fair wear and tear excepted).
- You must not remove fixtures/fittings that would normally remain and must leave the property clear of rubbish and belongings at settlement (unless agreed).
- If the condition materially changes, we may revise or withdraw the Offer and/or require remedial works as a condition of proceeding.
9. Costs and fees
- Home Report / valuation costs: You are responsible for the cost of the Home Report and/or valuation reports (and any related inspections) required for Part Exchange. Dulicht Homes does not cover these costs.
- You are also responsible for your solicitor’s fees and outlays for the sale and purchase, removals and any lender fees, and any costs you have already incurred.
10. Mortgage and finance
- It is your responsibility to arrange mortgage finance (if required) for the New Home.
- Part Exchange and any incentives are subject to lender criteria and may affect borrowing; you should take independent financial advice.
11. Withdrawals and cancellation
- You may withdraw from Part Exchange at any time before missives are concluded, subject to our reservation terms and any costs already incurred.
- We may withdraw from Part Exchange or withdraw/revise an Offer where:
- due diligence is unsatisfactory;
- you provide inaccurate or incomplete information;
- you miss agreed deadlines; or
- there is a material change in condition/ownership/occupancy of the Existing Property.
12. Data protection
We will process personal data in accordance with our Privacy Policy and applicable data protection law. We may share information with valuers, solicitors and relevant third parties for the purpose of administering Part Exchange.
13. General
- If any clause is found invalid, the remaining clauses remain in force.
- No waiver by us is effective unless in writing.
- These Terms & Conditions are governed by the laws of Scotland and the Scottish courts have jurisdiction.
